A fixture of hospital email and data-loss programs is buying one of healthcare’s preferred data security vendors, in what stands as 2026’s biggest cybersecurity acquisition. Thoma Bravo-owned Proofpoint announced Thursday that it will take Varonis private, paying $6.3 billion in an all-cash transaction. Holders of Varonis stock receive $49.75 a share, which is 52% above the $32.71 close on June 22, the final full session before takeover chatter began. The two companies aim to complete the transition during the first six months of 2027.

Two capabilities that health systems typically purchase separately would sit under one roof. On the Varonis side is a SaaS data security platform that locates and classifies sensitive data spanning cloud, SaaS and on-premises environments, tracks who can reach it, and monitors how it is used; its Atlas product addresses AI systems through inventory, posture management, security testing, runtime guardrails and compliance reporting. From Proofpoint come email defenses against phishing, business email compromise, ransomware and malware, along with protection for messaging apps and cloud accounts.

For healthcare security leaders, consolidation in the vendor stack cuts both ways. Procurement can get simpler, and tighter data-context sharing between email telemetry and sensitive-data discovery matters when a single BEC incident can expose patient records. The downside: platform lock-in, renewal-time price hikes, and roadmap disruption while regulators review the deal.

Practical steps now: flag every Proofpoint or Varonis contract for renewal-window review, confirm what a change-of-control clause allows, and document which PHI-adjacent systems depend on each product before terms shift.
